1. Ownership & Intellectual Property

LeadsForce360 and all related software, source code, designs, documentation, trademarks, logos, and intellectual property are exclusively owned by WinishTech IT Solutions Pvt. Ltd. You may not:

• Copy, modify, reverse engineer, decompile, or distribute the software
• Rent, sell, sublicense, or commercially exploit the Services
• Use the product outside the scope of this Agreement

Any unauthorized use constitutes a material breach and may result in immediate termination and legal action.

2. Registration & Account Information

To access certain Services, you may be required to register an account. During registration or usage, we may collect:

• Name, email address, mailing address, and phone number
• Account credentials (username, password, authentication tokens)
• Device, browser, and technical usage details
• Location data only if location tracking is enabled by your organization
• Feedback, inquiries, or communications submitted through forms or chat

You are responsible for ensuring that all information provided is accurate, complete, and up to date.

3. Payments & Billing

By subscribing to paid Services:

• You agree to pay all applicable fees according to the selected subscription plan
• All fees are exclusive of applicable taxes unless stated otherwise
• You authorize WinishTech to process payments through approved payment gateways
• You agree to honor any cheque, bank transfer, or payment instruction provided

Failure to make timely payments may result in service suspension or termination.

4. Subscriptions, Pricing & Renewals

• All subscriptions (including free or promotional plans) are valid for one (1) year, unless otherwise specified
• Subscription renewals are charged as per the selected billing cycle
• Pricing, features, or plans may be modified at WinishTech’s discretion
• Continued use of the Services after pricing changes constitutes acceptance
• Fees once paid are non-refundable, unless explicitly stated otherwise in writing.

5. Limited License & Permitted Use

WinishTech grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Services solely for internal business purposes
• Use the platform strictly in accordance with these Terms

This license does not transfer ownership of the software or intellectual property.

6. Third-Party Services & Content

The Services may integrate or link to third-party platforms (e.g., payment gateways, messaging services).

• WinishTech does not control or endorse third-party content
• We are not responsible for the accuracy, security, or availability of third-party services
• Third-party terms and privacy policies apply independently

7. Prohibited & Unlawful Activities

You agree not to use the Services for any unlawful, abusive, fraudulent, or unauthorized purpose, including but not limited to:

• Violating applicable laws or regulations
• Attempting unauthorized access to systems or data
• Uploading malicious code or harmful content

WinishTech reserves the right to: Suspend or terminate accounts, Report activities to legal or regulatory authorities, and Share relevant data where legally required.

8. Indemnification

You agree to indemnify, defend, and hold harmless WinishTech, its directors, officers, employees, partners, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

• Your violation of these Terms
• Misuse of the Services
• Infringement of third-party rights
• Data or content submitted by you

9. Limitation of Liability

To the maximum extent permitted by law:

• WinishTech shall not be liable for service interruptions, errors, data loss, or unauthorized access
• We are not liable for indirect, incidental, special, or consequential damages, including loss of profits or business
• Total liability is strictly limited to ₹10,000 (INR Ten Thousand) per claim, regardless of the cause

10. User Responsibilities & Data Control

You are solely responsible for:

• All data uploaded, processed, or stored using the Services
• Managing user roles, permissions, and visibility settings
• Ensuring business data is accessed only by authorized users
• Compliance with applicable labor, privacy, and industry laws

Any statements regarding future features, roadmaps, or performance are indicative only and do not constitute a binding commitment or guarantee.

12. Data Integrity & Accuracy

We process data solely to:

• Provide, maintain, and improve Services
• Ensure operational accuracy and security

You are responsible for maintaining the accuracy and completeness of the data you provide.

13. Disclaimer of Warranties

All Services are provided on an “as-is” and “as-available” basis. WinishTech disclaims all warranties, including but not limited to:

• Uninterrupted or error-free operation
• Fitness for a particular purpose
• Virus-free or defect-free systems

Use of the Services is at your sole risk.

14. Termination

WinishTech may suspend or terminate access to the Services:

• For violation of these Terms
• For non-payment of fees
• For legal or security reasons

Upon termination, your license to use the Services immediately ceases.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts of India.
